TERMS AND CONDITIONS
1. DEFINITIONS
- "Service Provider" means QB Servicess LLC, an accounting software services provider.
- "Client" means the individual or organization using the Service Provider's services.
- "Services" means the accounting software services provided by the Service Provider.
- "Software" means the accounting software used by the Service Provider to provide the Services.
2. ACCEPTANCE OF TERMS
By using the Services, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.
3. SCOPE OF SERVICES
The Service Provider will provide the Client with access to the Software and support services as described on the Service Provider's website.
4. CLIENT RESPONSIBILITIES
The Client is responsible for:
- Providing accurate and complete information to the Service Provider.
- Ensuring that all users of the Software comply with these Terms and Conditions.
- Maintaining the confidentiality and security of their account credentials.
5. SERVICE PROVIDER RESPONSIBILITIES
The Service Provider will:
- Provide the Services with reasonable care and skill.
- Ensure that the Software is available and accessible, except for scheduled maintenance and downtime.
- Maintain the confidentiality and security of Client data.
6. PAYMENT TERMS
The Client will pay the Service Provider the fees for the Services as described on the Service Provider's website. Payments are due on the due date specified on the invoice.
7. TERMINATION
Either party may terminate this agreement upon written notice to the other party. Upon termination, the Client will no longer have access to the Services, and the Service Provider will delete all Client data.
8. INTELLECTUAL PROPERTY
The Service Provider retains all intellectual property rights to the Software and Services. The Client may not reproduce, distribute, or display the Software or Services without the Service Provider's prior written consent.
9. CONFIDENTIALITY
The Service Provider will maintain the confidentiality of Client data and will not disclose it to any third party without the Client's prior written consent.
10. LIMITATION OF LIABILITY
The Service Provider's liability for damages arising from the provision of the Services will be limited to the amount of fees paid by the Client for the Services.
11. GOVERNING LAW
These Terms and Conditions will be governed by and construed in accordance with the laws of Kentucky,USA. Any disputes arising from these Terms and Conditions will be resolved through binding arbitration.
12. CHANGES TO TERMS
The Service Provider may modify these Terms and Conditions at any time. The Client will be notified of any changes and will be required to accept the modified Terms and Conditions to continue using the Services.
By using the Services, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.
